RhodeRides Outfitter Agreement and Assumption of Liability
Please read this agreement carefully before listing gear. By checking the acceptance box you agree to be legally bound by its terms.
1. Nature of RhodeRides
RhodeRides is a technology marketplace operated by Leeshore Holdings, Inc. that connects independent gear owners ("Outfitters") with individuals seeking to rent watersports equipment ("Renters"). RhodeRides is not a rental company, does not own any equipment listed on the platform, and does not employ Outfitters. All rental transactions are independent agreements between Outfitters and Renters. RhodeRides acts solely as a neutral technology intermediary. As an Outfitter you are operating as an independent party and not as an agent, employee, or representative of RhodeRides or Leeshore Holdings, Inc.
2. Ownership and Right to Rent
By listing equipment on RhodeRides you warrant and represent that:
a) You are the legal owner of all equipment listed or have explicit legal authority to rent the equipment on behalf of the owner.
b) The equipment is free from any liens, encumbrances, or legal restrictions that would prohibit its rental to third parties.
c) You have the legal right to enter into rental agreements for the listed equipment.
d) You will immediately remove any listing for equipment you no longer own or have the right to rent.
e) You understand that misrepresenting ownership or authority to rent constitutes fraud and may result in immediate account suspension and legal action.
3. Equipment Condition and Accurate Description
You agree that all equipment listed on RhodeRides must be accurately described and in safe working condition. Specifically you warrant that:
a) All photos, descriptions, specifications, and condition ratings provided in your listing accurately represent the current state of the equipment at the time of each rental.
b) You will update your listing immediately if the condition of the equipment changes materially before a rental.
c) All equipment provided to Renters is free from known defects that could cause injury, damage, or equipment failure during normal use.
d) You have inspected the equipment before each rental and confirmed it is safe and fit for the purpose described in the listing.
e) If equipment has known cosmetic damage, wear, or limitations you will disclose these clearly in the listing description.
f) You will not list equipment that is unsafe, structurally compromised, or not fit for its intended watersports purpose.
4. Equipment Defects and Outfitter Liability
You acknowledge and agree that:
a) If equipment you provide fails during normal use due to a pre-existing defect that was not disclosed in the listing you may be liable to the Renter for any resulting injury or damage.
b) If equipment you provide causes injury to a Renter or a third party due to a manufacturing defect, structural failure, or undisclosed damage you may bear liability for those injuries.
c) If equipment you provide breaks during normal use without any fault or negligence by the Renter you will not hold the Renter responsible for the cost of repair or replacement.
d) You are responsible for maintaining your equipment in safe working condition between rentals and replacing any equipment that is no longer safe to use.
e) RhodeRides bears no liability for equipment defects, failures, or injuries resulting from equipment you provide regardless of whether the defect was known or unknown to you.
5. Third Party Claims
You acknowledge and agree that:
a) If a Renter using your equipment injures a third party the primary liability rests with the Renter. However if the injury was caused or contributed to by a defect in your equipment you may share liability with the Renter for that injury.
b) If your equipment breaks during a rental and causes injury to a third party through no fault of the Renter you may bear liability for that injury as the equipment owner.
c) If a third party interferes with, damages, or steals your equipment while it is in the Renter's custody the Renter remains responsible for that equipment as outlined in the Renter Waiver. You agree to work directly with the Renter to resolve such situations and not hold RhodeRides responsible.
d) If a Renter allows an unauthorized third party to use your equipment and that third party damages the equipment or injures someone the Renter remains fully liable under the terms of the Renter Waiver. You agree to pursue any claims directly against the Renter and not against RhodeRides.
e) If a third party damages your equipment while it is not in a Renter's custody that is your own property risk and RhodeRides bears no responsibility.
f) RhodeRides is not liable for any third party claims arising from the rental of your equipment regardless of circumstances.
6. Pickup and Return
You agree that:
a) You will provide accurate and complete pickup instructions to Renters through the RhodeRides platform after booking confirmation and payment.
b) You will be available at the agreed pickup location at the agreed time or will make adequate arrangements for the Renter to collect the equipment.
c) You will inspect the equipment together with the Renter at pickup and document any pre-existing damage before the rental begins.
d) You will inspect the equipment upon return and document any damage that occurred during the rental period within 24 hours of return.
e) Any damage claims against a Renter must be documented and reported through the RhodeRides platform within 24 hours of equipment return. Failure to document damage within this window may limit your ability to make a claim.
f) You may require a damage deposit from Renters as disclosed in your listing prior to booking. Damage deposits are collected and managed directly between you and the Renter. RhodeRides does not manage or guarantee damage deposits.
7. Damage Deposits and Claims
You acknowledge that:
a) Any damage deposit you require must be clearly disclosed in your listing before a Renter books.
b) Damage deposits are handled directly between you and the Renter outside of the RhodeRides payment system unless otherwise specified.
c) If a Renter disputes a damage claim RhodeRides may provide messaging records and booking information to assist in resolution but is not responsible for adjudicating or resolving disputes between Outfitters and Renters.
d) RhodeRides is not responsible for guaranteeing payment of damage claims from Renters.
8. Cancellation Policy
You agree to the following cancellation terms:
a) If you cancel a confirmed booking for any reason the Renter will receive a full refund of all amounts paid including service fees. Repeated cancellations may result in account suspension or removal from the platform.
b) If a Renter cancels more than 24 hours before the rental start time they receive a full refund. You receive no payment for that rental.
c) If a Renter cancels between 2 and 24 hours before the rental start time they receive a 50% refund of the rental amount. You receive 50% of the rental amount minus any applicable Stripe fees.
d) If a Renter cancels less than 2 hours before the rental start time they receive no refund. You receive the full rental amount minus applicable Stripe fees.
e) Weather cancellations are handled at your discretion. RhodeRides strongly encourages Outfitters to offer full refunds for weather related cancellations to maintain platform trust and positive reviews.
9. Payments and Payouts
You acknowledge that:
a) All rental payments are processed through Stripe. You must complete Stripe Express account setup and identity verification before you can confirm bookings and receive payouts.
b) RhodeRides retains a 10% platform fee on all rental transactions. You receive 90% of the listed rental price for each completed booking.
c) Payouts are sent to your connected bank account on Stripe's standard payout schedule, typically 2 business days after payment is received.
d) RhodeRides is not responsible for delays in payouts caused by Stripe, banking institutions, or incomplete account verification.
e) You are responsible for reporting all rental income for tax purposes. RhodeRides will provide a 1099-K form if your annual earnings through the platform exceed IRS reporting thresholds.
f) You agree not to conduct transactions with Renters outside of the RhodeRides platform in order to circumvent platform fees. Circumventing platform fees is a material breach of this agreement and may result in immediate account termination.
10. Outfitter Conduct
You agree that:
a) You will respond to booking requests within a reasonable time — ideally within 24 hours.
b) You will communicate with Renters professionally and respectfully through the RhodeRides platform messaging system.
c) You will not discriminate against Renters on the basis of race, color, religion, national origin, sex, disability, or any other protected characteristic.
d) You will not use the RhodeRides platform to conduct any illegal activity.
e) You will not misrepresent your identity, qualifications, certifications, or the nature of your equipment or services.
f) You will not list gear that is stolen, illegally obtained, or subject to any legal dispute.
11. Release of Liability
To the fullest extent permitted by applicable law you hereby release, waive, discharge, and covenant not to sue RhodeRides, Leeshore Holdings Inc., and their respective officers, directors, shareholders, employees, agents, successors, and assigns from any and all claims, demands, losses, damages, costs, and expenses arising out of or related to:
a) Any damage to your equipment during a rental period regardless of cause
b) Any injury caused to a Renter or third party by your equipment
c) Any theft of your equipment during a rental period
d) Any dispute between you and a Renter
e) Any failure by a Renter to pay a damage deposit or honor a damage claim
f) Any third party claims arising from the rental of your equipment
g) Any loss of income arising from booking cancellations
h) Any payout delays caused by Stripe or banking institutions
12. Indemnification
You agree to indemnify, defend, and hold harmless RhodeRides and Leeshore Holdings Inc. from and against any and all third party claims, actions, suits, proceedings, costs, expenses, damages, and liabilities including reasonable attorneys fees arising out of or related to:
a) Your equipment causing injury to any person
b) Your equipment causing damage to any property
c) Your misrepresentation of equipment condition or ownership
d) Your breach of this agreement
e) Your violation of any applicable law or regulation
f) Any dispute between you and a Renter that results in a claim against RhodeRides
13. Insurance
You acknowledge that:
a) RhodeRides does not provide insurance coverage for your equipment, for injuries caused by your equipment, or for any liability arising from your rental activities.
b) You are strongly encouraged to obtain appropriate insurance coverage including but not limited to general liability insurance, equipment insurance, and any other coverage appropriate for your rental activities.
c) You represent that you are aware of and comply with any insurance requirements applicable to your rental activities under applicable law.
14. Account Suspension and Termination
RhodeRides reserves the right to suspend or terminate your account at any time for:
a) Providing inaccurate equipment descriptions
b) Repeated cancellations of confirmed bookings
c) Verified Renter complaints about equipment condition or safety
d) Circumventing platform fees
e) Violation of any term of this agreement
f) Any conduct that RhodeRides determines in its sole discretion is harmful to the platform or its users
15. Governing Law and Dispute Resolution
a) This agreement shall be governed by the laws of the State of Rhode Island without regard to its conflict of law provisions.
b) Any dispute arising under this agreement shall be resolved through binding arbitration in Providence, Rhode Island under the rules of the American Arbitration Association.
c) You waive any right to participate in a class action lawsuit against RhodeRides or Leeshore Holdings Inc.
16. Severability
If any provision of this agreement is found to be unenforceable the remaining provisions shall continue in full force and effect.
17. Acknowledgment
By checking the acceptance box below you confirm that:
- You are at least 18 years of age
- You have the legal right to rent the equipment you are listing
- You have read and understood this entire agreement
- You voluntarily agree to be legally bound by its terms
- You understand this is a legally binding contract
- You are not relying on any representations made by RhodeRides outside of this agreement
